Enterprise Agreement
Last updated: 9 October 2026
1. Overview
This Enterprise Agreement ("Agreement") governs access to and use of Productivity Workbench ("Service") by enterprise organisations ("Customer") and is entered into between the Customer and MDTS UK Limited, a company registered in England and Wales.
By clicking "I accept this Agreement" during the organisation registration process, an authorised representative of the Customer agrees to be bound by the terms set out herein.
2. Subscription, Seats and Billing
2.1 The subscription
The Customer subscribes to the Enterprise plan from its Organisation's Billing & Account page. There is no trial period: the Free plan is available without charge for evaluating the Service. Registering an Organisation costs nothing. The Organisation opens when the first payment is confirmed, or when a negotiated contract under section 2.4 starts.
2.2 Pricing and seats
The Enterprise plan is priced per person. The current price is on the Pricing page. The Customer chooses the number of seats to buy. Each person who is a member of a workspace or a studio in the Organisation uses one seat, however many of them they belong to, and a person cannot be added beyond the seats bought. Seats can be added at any time and are charged for the rest of the current billing period in proportion to the time left.
2.3 Billing and payment
The subscription is paid by card, monthly or yearly in advance, through our payment processor, Stripe. Prices are stated exclusive of VAT. The subscription renews for the next billing period until it is cancelled. Sections 8.5 to 8.9 of the Terms of Use (VAT, failed payments, price changes, cancelling, and what happens when a subscription ends) apply to it.
2.4 Negotiated contracts
For a larger estate, MDTS UK Limited and the Customer may agree a rate, a number of seats, a minimum term and payment terms in writing. A negotiated contract is billed by invoice in advance for each billing period, payable within the agreed payment terms by the methods shown on the invoice. The agreed rate is not affected by a change to the published price during the term and is reviewed at renewal. A negotiated contract cannot be cancelled before its minimum term ends.
3. Permitted Use
The Customer is granted a non-exclusive, non-transferable licence to access and use the Service for internal business purposes during the subscription term. The Service may not be resold, sublicensed, or used to build a competing product.
4. User Accounts and Access
The Customer is responsible for managing user accounts within their organisation. Each person who is a member of a workspace or a studio in the Organisation uses one of the seats the Customer has bought. The Customer must promptly remove access for users who leave the organisation.
Productivity Workbench enforces role-based access controls. The Customer's Organisation Administrator is responsible for assigning appropriate roles to users.
5. Data Protection
MDTS UK Limited acts as a Data Processor on behalf of the Customer (the Data Controller) for any personal data processed through the Service. Our data processing obligations are set out in our Privacy Policy and in the Data Processing Addendum available on request.
Data is stored in the European Economic Area (EEA) or United Kingdom. We do not transfer personal data outside these regions without appropriate safeguards.
6. Service Levels
| Metric | Commitment |
|---|---|
| Monthly uptime | 99.5% (excluding planned maintenance) |

| Support response (P1 — critical outage) | Within 4 business hours |

Service credits may be available for sustained SLA breaches; contact your account manager for details.
7. Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with this Agreement. This obligation survives termination of the Agreement for a period of three years.
8. Intellectual Property
The Service, including all software, documentation, and related materials, remains the intellectual property of MDTS UK Limited. The Customer retains ownership of all data and content it uploads to the Service.
9. Limitation of Liability
To the maximum extent permitted by law, MDTS UK Limited's total liability under this Agreement shall not exceed the fees paid by the Customer in the 12 months preceding the claim. Neither party shall be liable for indirect, consequential, or incidental losses.
10. Termination
The Customer may cancel the subscription at any time from its Organisation's Billing & Account page. The subscription then runs to the end of the billing period paid for, or to the end of the minimum term where a negotiated contract has one. MDTS UK Limited may terminate this Agreement by giving at least 30 days' written notice to expire at the end of a billing period, and may suspend or terminate access immediately if the Customer breaches these terms or fails to pay undisputed invoices.
When the subscription ends, the Organisation is archived as section 8.9 of the Terms of Use describes. Nothing is deleted, the Customer keeps access to its workspaces and studios within the limits of the Free plan, and subscribing again restores the Organisation. The Customer may export its data while it has access. Its data is kept and deleted as our Privacy Policy describes.
11. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
